Tiger Family "Be The First To Join Us" Participants Collaboration Agreement (the “Agreement”)

Participants: "Be The First To Join Us" Participants

In consideration of drafting and sharing of an article (referred to as the “Review”) on their experience of Tiger Family’s Ergonomic Schoolbag or Backpack (the “Product”), hereinafter referred to as the "Agreement," with a total of one article, to be published on:

Any or all of Tiger Family's official website, Facebook fan page, Instagram, and other electronic media channels as agreed upon.

All Participants agree to and shall adhere to the following terms and conditions, in accordance with the Personal Data Protection Act (PDPA) and other applicable laws of Singapore: 

1. Acceptance: All Participants are deemed to have acknowledge, understand and agree to this Agreement when they check-out a free trial schoolbag or backpack from Tiger Family's webstore at http://tigerfamily.com.sg.
2. Timeline: Both parties agree that the posting date for the Review shall be completed within 30 days upon receiving the free trial schoolbag or backpack and the post shall not be removed for a period lesser than one year. Any changes made to the posting date require mutual confirmation and agreement.
3. Collaboration Details: Tiger Family commissions Participants to write a Review about the product:

• Product: Tiger Family Ergonomic Schoolbag or Backpack.
• Participants shall include a minimum of 3 photos and/or videos of themselves with or using the Product (the “Collaboration Photos”) in the Review and provide the necessary store links as requested by Tiger Family.
• Participants shall provide Tiger Family with a draft for review before posting (up to 2 revisions). The content of the Review should align with Tiger Family's invitation and comply with Singapore's legal requirements. After Tiger Family's review, Tiger Family may offer appropriate suggestions and modifications to the Review while respecting Participants' writing style. Tiger Family's suggestions will primarily pertain to product-related information, spelling errors, and photography style, excluding alterations to Participants' usual tone and phrasing (explicit language in the Review is an exception).
• Participants grant Tiger Family the right to publicly use the Collaboration Photos, Videos and Review on any or all of Tiger Family's official website, Facebook page, Instagram, and other electronic media channels for reasonable and appropriate modifications.
• Ownership: All content produced by the Participants under this agreement shall become the exclusive property of Tiger Family upon submission.
• Usage Rights: Tiger Family has the unrestricted, perpetual right to use, modify, and distribute the Content across any media, including but not limited to Tiger Family's website, social media and marketing campaigns.
• Warranties: Tiger Family confirms the Content is original, free from third-party rights, and grants Tiger Family these rights without further claims or compensation.
• Participants guarantee that the Review does not infringe upon the copyrights or other rights of any third party. In the event of a violation, Participants agree to bear the relevant legal responsibilities.

4.     Compensation:

• Tiger Family provides the following products as compensation: one schoolbag or backpack. These items are not required to be returned after the completion of the posting of Review.

1. Amendment and Termination: The contents of this Agreement may only be modified with the written consent of all Participants. Without the consent of the other party, neither party may transfer or sell the rights arising from this Agreement to any third party. If any Participant breaches any term or provision of this Agreement, resulting in damages to Tiger Family, the breaching Participant shall be liable for compensation.
2. Image Protection: All Participants shall refrain from engaging in any actions that harm the reputation of Tiger Family. In case of a breach, Tiger Family has the right to terminate this Agreement and seek compensation for damages incurred (including but not limited to fines, attorney fees, litigation costs, enforcement costs, damage to reputation, and other financial losses).
3. Confidentiality: Any information, documents, transaction terms, or content related to this Agreement and the collaboration that Participants become aware of or possess shall be subject to a duty of confidentiality. Without prior written consent of Tiger Family, and except as required by applicable laws and regulations, Participants may not provide or disclose such information to any third party or use it for purposes beyond the scope of this Agreement. The confidentiality obligation under this clause shall survive the termination of this Agreement or the expiration of the collaboration period.

5. Governing Law:Any matters not covered by this Agreement shall be interpreted and governed by the laws of Singapore
6. Dispute Resolution:In the event of any disputes or litigation arising from this Agreement, all Participants agree to resolve them in accordance with Singaporean law and jurisdiction.
